1.Scope and Application

These Terms of Service govern all business transactions, service inquiries, and project contracts concluded between M-T-D Innenausbau GmbH, operating under the brand name Ceilingrepairly (“we”, “our”, or “us”), and any consumer or business client (“Client” or “you”) accessing our website at www.ceilingrepairly.com or booking our professional on-site ceiling repair and installation services across Europe.

By placing an initial online booking deposit through our website or engaging with our quotation process, you explicitly agree to be bound by these Terms of Service. Contrasting, differing, or general terms and conditions applied by the Client shall not form part of the contract unless explicitly agreed upon in writing by our authorized representatives.

2.Service Workflow and Booking Procedure

Our service delivery model operates through a structured professional engagement process designed to ensure precise execution and quality workmanship for every project:

Step 1 – Online Deposit: Clients initiate service requests by selecting the relevant project category on our website and submitting an initial online booking deposit. This deposit reserves scheduling availability and initiates the administrative review of the project.

Step 2 – Requirement Consultation: Following the deposit submission, clients submit detailed project specifications, dimensions, and visual documentation through our secure contact form or direct communication channels. Our technical team reviews these details to formulate a comprehensive project plan and transparent cost estimate.

Step 3 – On-Site Execution: Upon mutual agreement regarding the scope of work, scheduling, and final pricing terms, our specialist technicians arrive at the designated property location to perform the agreed installation and repair services.

Step 4 – Project Delivery: Upon completion of the physical work, a joint inspection is conducted with the Client to verify project execution, followed by final formal project delivery and handover.

3.Pricing, Payments, and Financial Terms

All prices quoted on our website or within individual project proposals are stated in Euros (EUR) and include applicable statutory German Value Added Tax (VAT), unless explicitly stated otherwise for B2B transactions. The initial deposit collected via the website represents a partial advance payment toward the total agreed project value.

Upon finalization of project specifications during the consultation phase, the remaining balance is communicated clearly to the Client. Final payments must be settled in accordance with the payment terms specified in the individual service agreement. We utilize secure payment processing infrastructures to handle online transactions in compliance with European payment security standards.

4.Statutory Right of Withdrawal (Widerrufsrecht)

If you contract our services as a consumer residing within the European Union, you are entitled to a statutory right of withdrawal within 14 days from the conclusion of the contract, without providing any justification, subject to specific statutory provisions governing service contracts.

Early Termination of Withdrawal Right: In accordance with European consumer protection regulations, the right of withdrawal for service contracts expires prematurely if M-T-D Innenausbau GmbH has fully performed the service and has commenced performance only after the consumer has given explicit prior consent and simultaneously acknowledged that they lose their right of withdrawal once the contract has been fully performed by the company.

If you request the commencement of on-site preparation or execution before the expiration of the 14-day withdrawal period, you shall pay an amount proportionate to the services provided up to the time you communicated your withdrawal, relative to the total coverage of the contract.

5.Client Obligations and Preparation

The Client is solely responsible for ensuring unobstructed access to the designated work areas at the scheduled appointment time. The Client must ensure that the structural environment is cleared of personal property, valuable items, and decorative elements that may impede professional repair work.

The Client warrants that they hold all necessary property ownership rights, landlord authorizations, or administrative permits required to authorize structural ceiling repair and installation work at the designated premises. M-T-D Innenausbau GmbH accepts no liability for delays or complications arising from inadequate site preparation or lack of legal authorization.

6.Warranties and Limitation of Liability

We execute all professional installation and repair services with due diligence and professional craftsmanship in accordance with applicable German building and trade standards. Statutory warranty rights (Gewährleistung) under German civil law (BGB) apply to all completed service works.

To the maximum extent permitted by applicable European and German law, M-T-D Innenausbau GmbH shall be held liable for damages only in cases of intentional misconduct or gross negligence. For ordinary negligence, liability is restricted to the breach of cardinal contractual obligations—essential duties required for the proper execution of the contract—and is limited to typical, foreseeable damages directly associated with the transaction.

7.Governing Law and Jurisdiction

These Terms of Service and all contractual relationships established hereunder between M-T-D Innenausbau GmbH and the Client shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG), without prejudice to mandatory consumer protection provisions applicable in the consumer’s country of habitual residence within the European Union.

For commercial clients and business entities, the exclusive place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship shall be the registered office of M-T-D Innenausbau GmbH in Vaterstetten, Germany.
